Master Wholesale Supply Agreement

Article 1: Preamble

This Master Supply Agreement ("Agreement") governs all commercial transactions between Tidal Coast Apparel ("Supplier") and the purchasing entity ("Retailer"). Access to the Wholesale Portal constitutes acceptance of these terms.

Article 2: Ordering & MOQ

2.1. Minimum Order Quantity (MOQ) is 50 units per style for opening orders. Re-orders have no MOQ.

2.2. All Purchase Orders (POs) must be submitted via the B2B Portal or via EDI (Electronic Data Interchange).

Article 3: Electronic Communication Consent

3.1. The Retailer acknowledges that the Supplier operates a paperless supply chain. By opening an account, the Retailer expressly consents to receive all commercial documentation electronically via the email address on file.

3.2. Mandatory transactional communications include:

• Order Acknowledgments and Inventory Allocations;
• Commercial Invoices and Credit Memos;
• Shipping Manifests and Tracking Numbers;
• Account Security Alerts.

Article 4: Shipping & Risk of Loss

4.1. All shipments are FOB Origin (Wilmington, DE) unless otherwise negotiated.

4.2. Title and risk of loss pass to the Retailer upon tender of goods to the Carrier.

Article 5: Returns

5.1. Claims for shortages or damages must be filed within 5 business days of receipt.
